Oando reaches agreement to acquire Italian oil giant, NAOC

Energy company, Oando Plc, has reached an agreement with Italian oil giant, Eni, for the acquisition of 100 per cent of the shares of its oil and gas unit, Nigerian Agip Oil Company Limited (NAOC).

According to a statement signed by the Company Secretary, Ayotola Jagun, on Monday, the completion of the transaction is subject to ministerial consent and other required regulatory approvals.

With this transaction, Oando increases its current participating interests in OMLs 60, 61, 62and 63 from 20 per cent to 40 per cent.

Oando’s ownership stake in all NEPL/NAOC/OOL Joint Venture assets and infrastructure which include forty discovered oil and gas fields, of which 24 are currently producing, approximately 40 identified prospects and leads, 12 production stations, approximately 1,490 km of pipelines, three gas processing plants, the Brass River Oil Terminal, the Kwale-Okpai phases 1 & 2 power plants (with a total nameplate capacity of 960MW), and associated infrastructure, has also increased.

Speaking on the transaction, the Group Chief Executive, Oando, Wale Tinubu, said, “The synergies created by this acquisition will unlock unparalleled opportunities for us to re-align expectations, enhance efficiency, optimize resource allocation, and significantly increase production.

Furthermore, it is in alignment with our strategy of acquiring, enhancing, appraising, and efficiently developing reserves.

“Today’s announcement is not just an important milestone for the future of Oando; it brings to bear the important role indigenous actors will play in the future of the Nigerian upstream sector.

Having achieved this significant milestone, we look forward to closing the transaction and harnessing the full potential of the enhanced platform to accrue value for our local communities, stakeholders and shareholders.”

The deal between the oil firms means that Oando’s total reserves which was 503.3Mmboe as of 2021 reserves estimates will increase by 98 per cent.

Oando’s exploration asset portfolio will also grow through the acquisition of a 90 per cent interest in OPL 282 and 48 per cent interest in OPL 135.

However, NAOC’s participating interest in SPDC JV (Shell Production Development Company Joint Venture – operator Shell 30 per cent, TotalEnergies 10 per cent, NAOC 5 per cent and NNPC 55 per cent) is not included in the perimeter of the transaction and will be retained in Eni’s portfolio.

Abuja building collapse, five dead, 10 rescued as search continues

A three-storey building under construction has collapsed in the Durumi 3 area near Abuja, leaving at least five people dead and 10 rescued alive, according to Punch Newspaper.   The incident happened on Saturday morning near Gudu Market, with emergency workers continuing efforts to reach people believed to still be trapped under the rubble. The report was first published by Punch, citing officials of the Federal Capital Territory Administration.   According to the FCTA, rescue teams recovered five bodies from the collapsed structure, while 10 survivors were pulled out alive. Search operations remained ongoing as responders combed through debris at the construction site in the Gudu district.   The statement was issued by Lere Olayinka, spokesperson to Nyesom Wike, who confirmed the scale of the incident and said additional victims may still be under the wreckage.   The FCT Mandate Secretary of Health Services and Environment Secretariat, Adedolapo Fasawe, visited the scene and said Wike had directed that all injured victims receive free medical treatment. Emergency teams including the Federal Fire Service, security agencies, health workers and local volunteers were seen at the site as residents gathered anxiously nearby.   Authorities have yet to confirm the cause of the collapse, while rescue operations continue.
